Placement Fee

For each Employed Candidate whose resume was first provided to Saber by ROI Agency, Saber agrees to pay ROI Agency a placement fee equal to 20% of the candidate's first-year base salary.

“Base salary” means the total annual salary agreed to be paid to the candidate for the first calendar year of employment. If the candidate is hourly, the annual base is calculated by multiplying the hourly rate by 2,080 hours.

Base compensation does not include Saber's share of payroll taxes, benefits, bonuses, or any salary increase first offered after the candidate accepts an offer.

Rebate Structure

If an Employed Candidate's employment is terminated early, the following rebates apply:

• Terminated within 15 days100% Rebate
• Terminated 16–90 days50% Rebate
• After 90 daysNo Rebate

Saber agrees to notify ROI Agency within 5 business days of any termination that would otherwise be owed a rebate.

Submission & Hire Credit

A candidate is credited to ROI Agency when Saber's Human Resources Department did not receive the candidate's resume from another source prior to receiving it from ROI Agency. The right to a placement fee extends for 12 months from the date the candidate was first submitted for consideration.

Insurance & Compliance

ROI Agency maintains general liability insurance of at least $1 million per occurrence / $2 million aggregate, plus umbrella or excess coverage of at least $1 million aggregate. Saber is named as an additional insured with respect to this Agreement.
